Affiliate Agreement

This Affiliate Agreement ("Agreement") is between you ("Affiliate") and VodVisor LLC ("Company"), the operator of PingShift. By clicking Accept or by applying to the creator program, you agree to this Agreement.

1. Program overview

The PingShift Affiliate Program lets approved creators promote PingShift to their audience using a unique affiliate link or code. This Agreement governs commercial affiliate relationships only. Personal refer-a-friend rewards for regular subscribers are covered in our Terms of Service.

2. Eligibility

To participate, you must:

• Be at least 18 years old (or the age of majority where you live).
• Have an active PingShift account in good standing.
• Operate a public channel, stream, or social presence with a real audience.
• Pass our manual application review.
• Comply with this Agreement, our Terms of Service, and our Privacy Policy.

Company may reject or revoke any application or account at its sole discretion.

3. Commission and discounts

When a new customer signs up through your affiliate link or code and completes their first paid billing cycle (whether monthly or annual), you earn 50% of the net subscription revenue we receive for that first billing cycle, after payment processor fees and refunds.

Customers who use your affiliate link or code receive 10% off their first billing cycle, as shown at checkout.

Commission becomes available for withdrawal 30 calendar days after the referred customer's first successful payment. This hold period lets us reverse commissions tied to chargebacks, refunds, or fraud.

Minimum withdrawal amount is $10 USD. Company may change payout rates, hold periods, or minimums with notice on the affiliate dashboard or by email. Changes apply to future conversions unless required otherwise by law.

Affiliates are responsible for any transaction, conversion, or withdrawal fees charged by the payout processor (for example, PayPal, Wise, or Stripe Connect transfer fees). The amount deposited to your account may be less than the gross commission balance shown in your dashboard.

4. Qualified conversions

A conversion qualifies for commission only when all of the following are true:

• The customer is a new paying subscriber who has not had a paid plan before.
• The customer used your valid affiliate link or code at signup or checkout.
• The customer completes their first paid billing cycle without a full refund.
• Company confirms the conversion is not fraudulent or abusive.

Free trials alone do not generate commission. Renewals after the first paid billing cycle are not commissionable unless Company announces a separate recurring program in writing.

5. Prohibited conduct

You may not:

• Refer yourself, household members, or accounts you control.
• Use fake traffic, bots, click farms, or paid incentive schemes that mislead users.
• Spam, harass, or send unsolicited messages that violate anti-spam laws.
• Make false claims about ping improvement, competitive advantage, or game publisher approval.
• Imply endorsement by Riot Games or any game publisher unless you have written permission.
• Bid on PingShift trademarks in paid search without prior written approval.
• Cloak links, cookie-stuff, or manipulate attribution tracking.
• Promote PingShift on sites that host malware, illegal content, or hate speech.

Company may use IP address, device identifiers, payment fingerprints, and account linkage to detect abuse. Violations may result in forfeited commissions, immediate termination, and permanent bans without refund.

6. Marketing guidelines

You must clearly and conspicuously disclose your affiliate relationship on every stream, video, or post promoting PingShift in accordance with FTC guidelines (for example, using prominent on-screen text, verbal disclosures, or clear hashtags like #ad or #PingShiftPartner at the very beginning of video descriptions or social posts).

You may use Company-provided assets and the PingShift name only to promote the service honestly. You may not modify our logo, imply you are an employee, or create derivative branding that confuses customers.

7. Independent contractor

You are an independent contractor, not an employee, partner, or agent of Company. You are responsible for your own taxes, expenses, and compliance with local laws. This Agreement does not create a joint venture or employment relationship.

8. Term and termination

This Agreement starts when you accept it and continues until terminated. Either party may terminate at any time with written notice or by closing the affiliate account.

On termination, you must stop using affiliate links and branding. Company will pay any qualified, non-disputed commissions that cleared the hold period before termination, unless termination was for fraud or breach.

9. Limitation of liability

To the fullest extent permitted by law, Company is not liable for indirect, incidental, or consequential damages arising from the program. Total liability for any claim related to this Agreement is limited to commissions owed and not yet paid for verified conversions in the twelve months before the claim.

10. Changes

Company may update this Agreement by posting a revised version at this URL and updating the date below. Material changes take effect 14 days after posting unless you terminate sooner. Continued participation after the effective date means you accept the changes.

11. Governing law

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, unless applicable law requires otherwise.
